UAE Free Zone vs Mainland Guide 2026

📅 Last reviewed: August 2, 2026📋 By: UAE Freezone Compare Setup TeamFact-checked by UAE Freezone Compare Editorial Team

Choose a free zone when activity fit, international work, lower entry cost or flexible setup matters. Choose mainland when direct UAE mainland trading, retail premises, government tenders or local market access is the main requirement.

Quick answer

Choose a free zone when activity fit, international work, lower entry cost or flexible setup matters. Choose mainland when direct UAE mainland trading, retail premises, government tenders or local market access is the main requirement.

Who this guide is for

This guide is for founders comparing UAE free zone setup options by activity, cost, visas, office requirement, banking difficulty and hidden fees before requesting a current quote.

Free zone vs mainland comparison

Factor Free Zone Mainland Decision Note
Market access Best for free zone/international business Best for direct UAE mainland trading Check sales model first
Cost Can be lower entry cost Varies by activity and office Compare Year 1 and renewal
Office Flexi desk or office depending on package Office requirements can differ Confirm before payment
Banking Possible but not automatic Possible but not automatic Documents decide
Activities Authority-specific activity lists Mainland activity approvals External approvals may apply

Mainland trading note

A free zone company may need a distributor, permit or mainland route depending on how it trades in the UAE market.

Cost warning

Do not compare only licence fee. Include visas, office, establishment card, renewals and amendments.

Ownership, banking and exit-readiness comparison

Free zone versus mainland is not only a licence-cost decision. Compare ownership structure, bank-document readiness, direct market access and the process for cancelling or closing the company if plans change.

Decision factor Free zone check Mainland check Why it matters
Ownership and UBO records Confirm the free zone format for shareholder and control details. Confirm mainland authority and corporate-document requirements. Banks and authorities may ask for ownership clarity.
Bank account file Prepare activity wording, contracts, website and source-of-funds note. Prepare the same bank-readiness file and mainland trade rationale. Licence type alone does not guarantee banking.
Closure path Ask about licence cancellation, visa cancellation, facility handover and clearances. Ask about licence cancellation, permits and authority steps. Exit exposure can affect the total decision, not only setup cost.
Mainland trading Confirm distributor, permit or mainland route if selling directly in the UAE market. Confirm activity approval and premises route. The best route depends on real sales model.

Source context: This checklist uses public planning signals from UAE official free-zone closure guidance, Ministry of Economy and Tourism beneficial-owner procedure material, and free-zone authority service guides such as DMCC and Jafza. It is a planning aid, not legal, tax, immigration or bank-approval advice. Confirm the current authority process before payment.

Family visas in free zone vs mainland planning

Do not choose between free zone and mainland only by the headline licence fee if family residence is part of the plan. Dependent visa eligibility, documents, medical, Emirates ID, insurance, housing or income evidence and in-country processing can sit outside the advertised company setup package.

Question Free zone planning note Mainland planning note
Does the company package include dependents? Usually confirm separately; many free-zone rows cover company setup or owner/employee visa only. Usually confirm separately through the mainland/immigration process and current advisor quote.
Which documents matter? Sponsor residence, relationship proof, housing or income evidence, medical, Emirates ID and insurance can all matter. The same categories may matter, but routing and submission process can differ.
How should costs be compared? Keep licence, office, establishment card, owner visa and family/dependent residence as separate line items. Keep trade licence, office/tenancy, owner/employee visa and family/dependent residence as separate line items.

Trader, Intelaq and home-business licence routing

Some small-founder routes, such as emirate-specific trader, Intelaq or home-business services, can be useful for limited activity scopes. They are not automatically a substitute for a free-zone or mainland company when the founder needs visas, employees, import/export, warehousing, payment-gateway readiness, B2B contracts, regulated activities or a scalable bank file.

Route Useful when Confirm before choosing it
Tajer or trader-style route You are checking an emirate-specific route for selected activities and lighter premises requirements. Eligible activities, owner/residency rules, site or lease timing, bank suitability and whether visas or staff are supported.
Intelaq or home-business route You are checking Dubai SME/home-business routing for a small project that may not need a full company structure immediately. Eligibility, activity list, home-address acceptance, employee limits, visa implications, renewal and upgrade path.
Free-zone company You need a company setup route with defined package, activity, visa, office/flexi and banking-preparation options. Year 1, renewal, 3-year cost, activity wording, establishment card, office/flexi desk, visas and banking difficulty.
Mainland company You need direct UAE mainland trading, local premises, retail presence, tenders or a wider UAE market route. Activity approvals, office/site requirement, local authority process, visas, renewals and banking documents.

When a freelance route is not the same as a company

A freelance or sole-professional route may suit an individual working under their own name. A free-zone or mainland company may be more suitable when the founder needs a company name, shareholders, staff, trading scope, broader bank-account evidence or a mainland sales structure.

Question Freelance / sole-professional route Company route Best next check
Will the activity be performed personally? Often better fit for individual professional services. Better fit for multi-person or branded operations. Confirm exact license wording.
Do you need a trade name or shareholders? Some routes are issued in the person’s name, not a brand name. Usually stronger for brand, shareholder and staff planning. Compare free-zone company and mainland options.
Is residence the main objective? Green Residence may be relevant only if self-employment eligibility is met, including the MoHRE freelance or self-employment permit check. Company visa route may be relevant when tied to license, establishment card and visa quota. Separate residence eligibility from company setup cost.
Will you sell goods or sponsor staff? Can be limited depending on route and activity. Usually needs a company license and the right trade/facility approvals. Check trading, staffing, office and banking requirements.

Source note: Reviewed on 2 August 2026 using GoFreelance, ICP Green Residency, GDRFA Green Residence permit, GDRFA Green visa, DDA freelancer license. Eligibility, staff sponsorship, banking and visa outcomes must be confirmed with the relevant authority or advisor.

Free zone, mainland, branch or representative office?

A foreign parent company should not compare only free-zone versus mainland headline licence fees. The right route may depend on whether the UAE operation is a branch, limited representative presence or separate company with its own shareholders and banking file.

Route When it may fit What to verify before paying Source confidence
Free-zone branch of an existing company A parent company wants a UAE free-zone presence while keeping the UAE entity linked to the parent. Parent-company documents, board resolution, attestation/legalisation, activity match, office/facility requirement, manager/signatory powers, licence category, renewal, visas and banking evidence. Official route evidence exists; exact package, cost, approval and document list must be confirmed with the selected authority.
Branch of a foreign company A non-UAE parent company needs a UAE place of business for some or all parent-company activities. Whether the route is free-zone or mainland, whether MoET/local authority steps apply, parent liability, activity scope, name rules, attested documents and bank-account substance. Official MoET/DDA/DMCC/JAFZA source context; not a legal or tax opinion.
Representative office The parent may need a limited UAE representation or marketing presence rather than full trading operations. Permitted activity limits, invoicing restrictions, parent-company relationship, commercial agency or mainland requirements and whether the route can sign contracts or trade. Requires current authority confirmation; do not assume it replaces a licence that can trade.
New FZ-LLC, FZE or FZCO company The founder needs a separate UAE entity, shareholders, trade name, staff plan, bank profile or broader contracting route. Shareholder structure, licence activity, office/flexi, establishment card, visas, bank documents, renewal and liquidation obligations. Compare separately from branch routes because legal form and document burden differ.

Hiring and payroll readiness check

Before hiring through a UAE company route, check whether payroll should run through MOHRE or WPS, a free-zone salary-transfer process, a payroll-card provider, or ordinary bank transfer. The answer can change by jurisdiction, employee visa route, contract type, establishment card or labour-file status and bank or payroll provider.

Hiring/payroll check What to verify before hiring Source confidence
WPS or payroll route Confirm whether the selected route uses MOHRE/mainland WPS, a free-zone salary-transfer process, an optional or contract-led WPS route, payroll cards, or direct bank transfer. Official and free-zone public guidance checked August 2026; route-specific confirmation required.
Employee visa and card sequence Check establishment card, immigration file, company employment card, Permanent Identity Card, employee visa and payroll registration sequence for the selected authority. Authority process varies; no universal timeline or approval is assumed.
Payroll/payment provider Verify whether salaries will be paid through a bank, exchange house, salary-card provider or ordinary transfer, and ask for any provider fees in writing. Indicative planning note; provider fees are quote-based.
Banking and KYC documents Prepare trade licence, establishment card where applicable, employee records, salary file, UBO details, contracts, invoices and source-of-funds evidence. Document checklist only; bank approval is never guaranteed.
Cost and timing Request a current quote before payment. Do not treat a licence fee as an all-in hiring, establishment-card, payroll, visa, insurance or banking total. Requires current authority, bank or payroll-provider confirmation.

Transfer, redomiciliation or close-and-reopen check

If you already operate through a mainland, free-zone or foreign company, compare three routes before choosing a UAE free zone: continue or redomicile the existing entity where the authority permits it, transfer out or in through an authority-specific process, or close the old entity and open a new UAE free-zone company. The right route depends on contracts, bank facilities, visas, tax registrations, debts, activity approvals and whether both authorities accept the move.

Route check What to verify before acting Source confidence
Eligibility to continue or redomicile Confirm whether the origin jurisdiction allows continuance, whether the destination authority accepts the entity type, and whether solvency, good-standing, shareholder-resolution and registrar evidence are required. Official ADGM, DMCC, JAFZA and Meydan source context checked August 2026; route approval still requires authority confirmation.
Transfer versus new company Compare legal-entity continuity against a controlled close-and-reopen route. Check active contracts, bank facilities, tax registrations, supplier portals, employees, visas and whether a new licence would require fresh KYC. Planning framework only; UFZC does not assume bank, contract or tax continuity.
Exit clearances Ask the current authority for outstanding dues, lease or facility termination, visa cancellation, customs, telecoms, utilities, establishment card, immigration file and NOC requirements before starting the move. Authority-specific; no universal fee, clearance list or timeline is assumed.
Destination package fit Reconfirm activity wording, shareholder structure, office or flexi-desk requirement, visa quota, establishment-card process and banking documentation under the new authority. Requires current destination-authority package review.
Cost and timing decision Request itemised current quotes for both routes: transfer or continuance, and close old entity plus new setup. Include overlap costs, cancellation, amendments, visas, banking, office and document legalisation where relevant. Quote-based unless the specific authority route publishes current fees for the exact transaction.
