When to Choose UAE Mainland

You must choose mainland if: you want to sell directly to UAE mainland customers (without a mainland distributor), you want to bid on UAE government tenders and contracts, your activity is not permitted in UAE free zones (some activities like general contracting, food retail, and licensed professional firms are mainland-only), you want to open a physical retail store or restaurant for walk-in customers (in a non-free-zone location), your business needs to employ more than 50 staff (visa quotas in free zones are limited by office/warehouse space), or your clients specifically require a mainland company (some large UAE corporates prefer or require mainland suppliers).

When to Choose UAE Free Zone

Free zone is the better choice if: 100% foreign ownership is important (now technically available in mainland too via LLC without a UAE national sponsor, but free zones are simpler), your clients are primarily outside the UAE (international clients, GCC-wide client base, online business), you want zero or minimal office space overhead (virtual office and flexi-desk options are free-zone-specific), you want lower total setup cost (free zones are generally cheaper than mainland for the first 2-3 years), you need a fast, 100% online setup (many free zones: 3-7 day online setup vs. 4-6 weeks mainland), or you qualify as a free zone QFZP for 0% corporate tax on international income.

Can You Have Both Mainland and Free Zone?

Yes. Many UAE businesses have: a free zone company (as the primary entity for international work and holding), AND a mainland company (as a secondary entity for UAE domestic contracts and government tenders). The two entities can transact with each other, but must do so at arm’s length (transfer pricing rules apply from 2024 under UAE CT). Cost: you pay for two full licences and two sets of visas. This structure only makes sense when both entities have genuine business activity.
