UAE introduced mandatory UBO (Ultimate Beneficial Owner) registration requirements for all UAE companies, including free zone companies, as part of its anti-money laundering and financial transparency framework. What Is a UAE UBO?
An Ultimate Beneficial Owner is a natural person (individual) who ultimately owns or controls a UAE company. UAE regulations define UBO as any individual who: directly or indirectly owns 25% or more of the company’s shares, exercises direct or indirect control over the company, or is a senior manager if ownership cannot be identified through shareholding.
UAE UBO Registration Requirements
All UAE companies (including free zone companies) must:
- Maintain a UBO register at the company’s registered address
- File UBO information with the relevant registrar (ministry, free zone, or mainland DED)
- Update UBO register within 15 days of any change in UBO
- Provide UBO information to UAE authorities upon request
UBO Register Information Required
- Full legal name of each UBO
- Date of birth, nationality
- UAE or home country address
- Passport number and expiry
- UAE national ID (where applicable)
- Nature and extent of ownership/control interest
- Date on which individual became a UBO
UBO Exemptions
Some entities are exempt from UAE UBO requirements:
- UAE Federal and emirate-level government entities
- Companies listed on UAE stock exchanges (DFM, ADX)
- Companies regulated by UAE Central Bank, SCA, IA, or similar authorities
Most private free zone companies (DMCC, IFZA, JAFZA, RAKEZ, etc.) are NOT exempt and must comply with full UBO registration.
Penalties for UAE UBO Non-Compliance
- Administrative fine: AED 100,000–1,000,000 per violation
- Repeated violations: business activity suspension
- Continued non-compliance: licence cancellation
UAE authorities have actively enforced UBO requirements since 2021. Companies undergoing licence renewal are increasingly required to confirm UBO compliance before renewal approval.
UBO vs Shareholder Register
The UBO register is distinct from the shareholder register. A corporate shareholder (holding company) appears in the shareholder register but the UBO register must pierce through to the ultimate individual human owner. If a UAE free zone company is owned by a BVI company, which is owned by a trust, the UBO register must identify the individual settlor/beneficiary of the trust — not the BVI company or the trust itself.
