What Is UBO Registration?
- UBO: The natural person(s) who ultimately own or control a UAE company
- Requirement: UAE law requires all UAE companies to maintain and register their UBO information
- Registry: UBO information registered with the relevant authority (free zone or DED)
Who Is a UBO?
- Direct ownership: Natural person holding 25% or more of company shares
- Indirect ownership: Natural person controlling 25%+ through a chain of companies
- Control: Person with power to appoint/remove majority of board; or otherwise exercise dominant influence
- Default (if no 25%+ holder): Senior managing official is registered as UBO
UBO Registration Process
- When: At company registration; must also update within 15 days of any ownership change
- How: Submit UBO declaration form to your free zone authority
- Documents: Passport; residential address; nationality; date of birth of each UBO
Penalty for Non-Compliance
- Administrative fines: AED 50,000+ for failure to register or update UBO information
- Enforcement: UAE authorities have increased UBO enforcement as part of AML commitments

- CRS: UAE participates in OECD Common Reporting Standard; UAE bank account information shared with relevant tax authorities globally
