UAE Economic Substance Regulations (ESR) require certain UAE companies to demonstrate genuine economic activity in the UAE. Here is a complete compliance guide for businesses.

What Are UAE ESR?

UAE ESR were introduced in 2019 in response to EU and OECD pressure on “shell company” jurisdictions. The regulations require UAE companies engaged in specific “Relevant Activities” to demonstrate that: their activity is genuinely managed and directed from the UAE, the activity is performed in the UAE with adequate employees, premises, and expenditure, and they generate adequate income in the UAE. Companies that pass the economic substance test are not taxed additionally — but companies that fail may face penalties of AED 50,000–300,000 and, in serious cases, information exchange with foreign tax authorities (which could trigger home-country tax investigations).

Relevant Activities Under UAE ESR

UAE ESR applies to companies engaged in: Banking, Insurance, Fund Management, Lease-Finance, Headquarters (holding companies that provide group services), Shipping, Holding Company activities, Intellectual Property (holding and exploiting IP), and Distribution and Service Centres (for multinational groups). If your UAE company does NOT engage in any of these activities, ESR does not apply to you. Most SMEs, freelancers, trading companies, and non-group professional service firms are NOT subject to ESR.

ESR Annual Filing

Companies subject to ESR must: file an ESR Notification (declaration of whether they conduct relevant activities) annually via the MoE ESR portal. If a relevant activity is conducted: file an Economic Substance Report within 12 months of the financial year end, demonstrating the substance evidence. ESR notifications are now integrated with UAE trade licence renewals for many free zones — your free zone may ask ESR questions during renewal.
