What Is a UAE Commercial Agency?
- Definition: a relationship where a UAE agent is appointed by a foreign principal to distribute or sell the principal’s products or services in UAE
- Registered agency: if the agency relationship is registered with the UAE Ministry of Economy Commercial Agencies Register, the UAE agent gains significant legal protection
- UAE national agent: historically, registered UAE commercial agents had to be UAE nationals; post-2022 reforms allow non-nationals in some cases, but registered agency relationships still heavily protect the agent
The Commercial Agency Problem for Foreign Principals
- Agent protection: once an agency is registered, the UAE agent has very strong protections; the foreign principal CANNOT terminate or change the agent without either:
- Mutual consent of both parties, OR
- Judicial cancellation order from UAE courts (very difficult to obtain without proven breach)
- Compensation on termination: even if a UAE court allows termination, the agent may be entitled to compensation for their investment in building the business
- Common trap: foreign companies appoint a UAE agent, register the agency, later want to change agents or set up their own UAE entity — they find they CANNOT without paying significant compensation to the existing agent
How to Avoid the Commercial Agency Trap
- Do NOT register the agency: an unregistered agency relationship gives the UAE agent far fewer legal protections; foreign principal can terminate more easily
- Distribution agreement (not agency): structure the relationship as a distribution agreement rather than a registered commercial agency; distributor buys goods from you and resells; no UAE commercial agency registration; easier to terminate
- UAE free zone entity of your own: set up your own UAE free zone company; appoint UAE nationals as employees (not agents); no commercial agency registration
- Legal advice before appointment: ALWAYS get UAE legal advice before appointing a UAE commercial agent; the law heavily favours the agent once registered
Post-2022 UAE Commercial Agency Reforms
- Federal Decree-Law No. 18 of 2022 (new commercial agencies law): introduced more balanced approach; allows non-UAE nationals as agents in some cases; improved termination provisions; shorter disputes resolution
- Still strong agent protection: even under the new law, registered agents have significant rights; foreign principals must understand they are still entering a heavily regulated relationship
