UAE Company Ownership Structures: FZE vs FZCO vs LLC vs Sole Establishment

Choosing the right legal structure for your UAE business affects your liability, governance requirements, and the number of shareholders permitted. Here is a comparison of the four most common UAE company ownership structures.

FZE (Free Zone Establishment)

An FZE is a single-shareholder free zone company β€” the UAE equivalent of a sole trader with limited liability. The single shareholder can be an individual or a corporate entity. FZEs are the most common free zone company type due to their simplicity. There is no minimum shareholding by a second person required. The shareholder has limited liability β€” personal assets are protected up to the company’s declared capital.

FZCO (Free Zone Company)

An FZCO is a multi-shareholder free zone company (2–50 shareholders). Each shareholder holds a percentage of the share capital. Decisions are made by shareholder resolution (majority or supermajority depending on the MOA). FZCOs are preferred for joint ventures and partnerships where multiple investors want defined ownership stakes.

UAE Mainland LLC

A Mainland LLC (Limited Liability Company) allows 1–50 shareholders. Since 2021, 100% foreign ownership is permitted for most mainland activities without a local sponsor. LLCs can conduct business anywhere in the UAE (no restriction to a free zone). They are the preferred structure for retail businesses, restaurants, and companies selling to UAE end consumers.

Sole Establishment (Sole Proprietorship)

A Sole Establishment is a mainland structure for individual professionals licensed for specific activities (engineering, law, medicine, accounting). The sole proprietor has unlimited personal liability. Sole Establishments cannot have partners and cannot be 100% foreign-owned β€” they require a UAE national local sponsor (for most activities) or a UAE professional visa holder as owner.
