UAE startups need specific legal documents to protect their business, investors, and founders. Here is a complete 2025 checklist of legal documents for UAE startups.

Foundational Legal Documents

Trade Licence: Issued by DED or free zone. This is the legal permission to operate commercially in the UAE. Keep it valid (annual renewal). Memorandum of Association (MOA): The foundational company document. For mainland LLCs: defines the company name, activities, share capital, shareholders, and management structure. Must be notarised. For free zone companies: equivalent documents (shareholders agreement, share certificate, articles of association depending on the free zone). Share Certificates: Issued to each shareholder confirming their equity percentage. Company Seal: Optional but traditionally used for official documents. Less common since digital signatures became widespread.

Employment Legal Documents

MOHRE-Approved Employment Contract: Mandatory for all mainland employees. Must be registered with MOHRE. Standard template available on the MOHRE website. Offer Letter: Not mandatory but best practice. Confirms job title, salary, benefits, and start date before the formal contract is signed. NDA (Non-Disclosure Agreement): For employees with access to confidential information or trade secrets. Sign on or before the first day of employment. IP Assignment Agreement: Ensures that intellectual property created by employees or contractors belongs to the company (not the individual). UAE law does not automatically assign employee-created IP to the employer, so an explicit assignment is needed.

Investor Legal Documents (If Raising Funding)

Term Sheet: Non-binding document summarising the proposed investment terms. SHA (Shareholders Agreement): Governs the relationship between shareholders. Covers: voting rights, board composition, anti-dilution, drag-along/tag-along rights, exit provisions. SPA (Share Purchase Agreement): Binding document for the actual sale of shares to the investor. Representations and Warranties: Statements by the founders about the company’s legal status, financial position, and IP ownership.
