The most fundamental choice for any UAE business is between a mainland LLC (Limited Liability Company) and a free zone company. Both offer 100% foreign ownership — but they serve different business models and come with different constraints and costs.

UAE Mainland LLC

A UAE mainland LLC is licensed by the Department of Economic Development (DED) of its emirate. Since 2021, 100% foreign ownership is permitted for most mainland activities — the old 51% local partner requirement has been eliminated for most commercial and professional activities. LLCs can: trade directly with any UAE customer (individuals and businesses), open retail shops and restaurants, bid for UAE government contracts without restriction, employ staff without visa quota limits, and import/export without needing a free zone agent.

UAE LLC setup cost: AED 15,000–30,000 for the licence (plus office lease). Annual renewal: AED 10,000–20,000. Requires a physical office in most cases.

UAE Free Zone Company

A free zone company (FZE or FZCO) is licensed by a specific free zone authority and is physically and legally within that free zone. 100% foreign ownership is the default (no change needed from 2021 amendments). Free zone companies can: trade internationally without restriction, provide services to other free zone companies, employ unlimited staff on free zone visas, and in some cases trade with mainland UAE customers through a distribution agreement with a mainland company or agent.

Free zone setup cost: AED 7,500–30,000 depending on the zone. No physical office required for basic packages (virtual address).

Decision Framework

If your revenue comes primarily from UAE end consumers or government entities, choose a mainland LLC. If your revenue is from export, international clients, or other free zone companies — and you want the minimum cost structure — choose a free zone company and take advantage of the 0% corporate tax on qualifying income.
